Terms of Service Last updated: April 30, 2025 1. AGREEMENT TO TERMS These Terms of Service (“Terms”) constitute a binding agreement between you (“you” or “User”) and XBoost Inc. (“XBoost,” “we,” “us,” or “our”) governing your access to and use of AmazonGPT (the “Service”), including our landing pages, API, Slack integration, and any related applications or websites. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. 2. ELIGIBILITY You must be at least 18 years old to use the Service. By using the Service you represent that you meet this requirement. 3. DESCRIPTION OF SERVICE AmazonGPT connects to your Amazon Seller Central and Amazon Ads Console via API and delivers computed insights and answers in Slack. The Service is offered free of charge with a limit of 200 requests per calendar day. 4. FREE USAGE & RATE LIMITS 4.1 Free Tier – You have up to 200 API calls per calendar day at no cost. 4.2 Usage Monitoring – We may monitor and enforce rate limits to protect system stability. 4.3 Overages – Requests beyond the daily limit will be rejected with an error response. You may resume requests at the next UTC 00:00 reset. 5. USER ACCOUNTS & ACCESS 5.1 Amazon OAuth – You must grant AmazonGPT permission to access your Seller Central and Ads data via Amazon’s OAuth protocol. 5.2 Slack Integration – Installation of our Slack app in your workspace and user mention (“@AmazonGPT”) are required to invoke the Service. 5.3 Account Security – You are responsible for safeguarding your Amazon and Slack credentials and for all activity under your account. 6. PROPRIETARY RIGHTS All intellectual property rights in the Service, including code, UI, documentation, and trademarks, are and remain our exclusive property. You may not copy, modify, distribute, or create derivative works without our prior written permission. 7. USER CONTENT Any prompts, messages, or data you submit (“User Content”) remain yours. By submitting, you grant XBoost a worldwide, royalty-free, perpetual license to use, reproduce, and display your User Content solely to provide and improve the Service. 8. RESTRICTIONS You agree not to: • Circumvent rate limits or access controls • Reverse-engineer or misuse the API • Use the Service for illegal, fraudulent, or harmful purposes 9. DISCLAIMERS The Service is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation. 10. LIMITATION OF LIABILITY To the maximum extent permitted by law, XBoost and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of (or inability to use) the Service, even if advised of the possibility of such damages. Our total aggregate liability for direct damages will not exceed fifty U.S. dollars (US $50). 11. INDEMNIFICATION You agree to defend, indemnify, and hold harmless XBoost and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms or your misuse of the Service. 12. MODIFICATIONS We may modify these Terms at any time by posting an updated version at this location. The date at the top will be updated. Your continued use after changes constitutes acceptance of the new Terms. 13. TERMINATION We may suspend or terminate your access at our discretion, with or without notice, for any reason including breach of these Terms. 14. GOVERNING LAW These Terms and any disputes arising under them are governed by the laws of the State of California, U.S.A., without regard to conflict-of-law principles.
